Updately.ai Terms of Service

These Terms of Service (these “Terms”) describe your rights and responsibilities when using our online services located at updately.ai, api.updately.ai, or via the Updately Slack app or other integrations (collectively, the “Services”). Please read these Terms carefully; if you don’t agree to be bound by these Terms, you aren’t allowed to access or use the Services.

1. General Provisions

1.1 These Terms Form a Binding Contract
Unless the parties have mutually executed a different agreement covering your use of the Services, these Terms form a binding contract between Customer and Saasly Technologies Pvt Ltd. “We,” “our,” and “us” refers to Saasly Technologies Pvt Ltd, while “Customer” or “you” refers to you (or, as applicable, the company or entity that you represent). The “Effective Date” of these Terms is the date that you first use our website or access any of our Services. If you access or use the Services in your capacity as an employee, consultant, or agent of a company or entity, you represent that you have the authority to bind that entity to these Terms.

1.2 Arbitration Provision
These Terms contain an arbitration provision (see Section 12 below). By using the Services, you understand and agree to be bound by the arbitration provision.

1.3 Subscriptions
A subscription allows you (and authorized users) to access the Services. Subscriptions can be obtained via the Services’ billing interface or via an Order Form entered into between the parties. We offer different subscription tiers, including a free plan. One person or entity may not sign up for more than one free plan. Subscriptions commence when we make them available to you, and continue for the term specified, unless terminated in accordance with these Terms.

1.4 Purchasing Decisions
We may share information about future product plans, but those are expressions of intent. Purchasing decisions should be based only on features currently available.

1.5 Modifications
We reserve the right to change or modify these Terms or any other policies at any time upon notice to you, which may be provided via email, notice within the Services, or posting the updated Terms on our website. Continued use of the Services following notice constitutes acceptance of the modified Terms.

2. Accessing and Using the Services

2.1 Access Grant
Subject to compliance with these Terms, Saasly Technologies Pvt Ltd grants you a limited, non-transferable, non-exclusive, revocable license to access and use the Services for your internal business purposes, within the subscription scope purchased.

2.2 Restrictions
You may not:

Modify, resell, sublicense, or create derivative works of the Services;

Use the Services on a timeshare basis or allow unauthorized third-party access;

Transmit malicious code, interfere with performance, or copy competitive features;

Reverse engineer, decompile, or otherwise attempt to discover source code;

Use the Services to support harmful, discriminatory, or illegal content.

2.3 Customer Responsibilities
You must ensure compliance by all users. The Services are not intended for those under the age of 16. You are responsible for the security of your accounts and all activities under them.

2.4 Registration and Third-Party Accounts
To access certain features, you may be required to link third-party accounts (e.g., Slack, Reddit, LinkedIn, or X). By doing so, you grant us access to relevant data per those third parties’ terms. We disclaim liability for third-party services, and their use is governed solely by your agreements with those providers.

2.5 Third-Party Licenses
Certain features depend on third-party platforms. Those services are not ours, and we do not provide warranties for them.

3. Privacy Policy

for information on how we collect and use data. By using the Services, you consent to such collection and use.

4. Intellectual Property

The trademarks, logos, and slogans of Updately are owned by Saasly Technologies Pvt Ltd. Unauthorized use is strictly prohibited. We respect intellectual property rights of others and expect users to do the same. Accounts of repeat infringers may be terminated.

5. Service Level Commitment

We aim to maintain 99% uptime of the Services. This is not a guarantee, but at our discretion we may provide service credits in the event of significant downtime, reflected as credits against future subscription fees.

6. Limitation of Liability

To the fullest extent permitted by law, neither Updately nor its affiliates shall be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, goodwill, or data, arising from use of the Services or these Terms.

7. Jurisdiction

These Terms are governed by the laws of India. Courts in New Delhi have exclusive jurisdiction for disputes.

8. Indemnity

You agree to indemnify and hold harmless Updately and its affiliates, officers, employees, and contractors from any claims, damages, or expenses arising from: (a) your use of the Services, (b) violation of these Terms, or (c) infringement of third-party rights.

9. Third-Party Links

The Services may link to third-party sites or resources. We are not responsible for their content, performance, or security. Transactions with third parties are solely between you and them.

10. Feedback

If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose.

11. Modification of Terms

We may update these Terms at any time. Notice will be provided as described in Section 1.5. Continued use after notice constitutes acceptance.

12. Dispute Resolution and Arbitration

All disputes related to these Terms shall be resolved by arbitration in New Delhi, India, under Indian law. Arbitration may be conducted by telephone, written submissions, or in person. The decision will be final and binding. Saasly Technologies Pvt Ltd may seek injunctive relief in courts of competent jurisdiction within India.
