1 – Acceptance of Terms

By accessing or using the Updately website at https://www.updately.ai (the "Website") and the Updately platform, tools, APIs, and related services (collectively, the "Services") provided by Sassly Technologies Inc, doing business as Updately ("we", "our", "us", or "Updately"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use our Services.

2 – Description of Services

Updately is an AI-powered platform that provides social listening, signal monitoring, lead scoring, personalized outreach, and online reputation management across social media platforms including LinkedIn, Reddit, and X (Twitter). Our Services enable users to identify buying signals, generate AI-crafted messages, and manage social engagement workflows. The specific features available to you depend on your subscription plan.

3 – Account Registration

To use our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use our Services. By creating an account, you represent and warrant that you meet this age requirement.

4 – Subscription Plans and Payment

Pricing

Our Services are offered through various subscription plans as described on our Pricing page. We reserve the right to modify pricing at any time, with reasonable advance notice to existing subscribers.

Billing

All payments are processed through Stripe. By subscribing, you authorize us to charge your designated payment method on a recurring basis according to your selected plan. All fees are non-refundable except as expressly stated herein or as required by applicable law.

Free Trial

We may offer a free trial period for certain plans. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. We will provide clear notice of when your trial is ending.

5 – Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services to send spam, unsolicited bulk messages, or messages that violate any applicable anti-spam laws
• Violate the terms of service of any third-party platform (LinkedIn, Reddit, X, etc.) while using our Services
• Attempt to gain unauthorized access to our systems, other users' accounts, or third-party platforms
• Use the Services to harass, abuse, threaten, or intimidate any person
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated tools (bots, scrapers, etc.) to access the Services in a manner not authorized by us
• Share your account credentials with third parties or allow multiple individuals to use a single account
• Use the Services for any activity that is fraudulent, misleading, or deceptive

6 – Intellectual Property

All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, icons, and the overall design — are owned by Updately and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you provide through the Services (e.g., your ICP descriptions, target keywords, custom outreach templates). By using our Services, you grant us a limited, non-exclusive license to use such content solely for the purpose of providing and improving the Services.

7 – AI-Generated Content

Our Services may generate content using artificial intelligence (e.g., personalized outreach messages, lead summaries, signal analyses). You acknowledge and agree that:

• AI-generated content is provided as a suggestion and should be reviewed before use
• You are solely responsible for any messages you choose to send using our platform
• We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content
• You will comply with all applicable laws and platform policies when using AI-generated content

8 – Third-Party Platforms and Integrations

Our Services integrate with third-party platforms (LinkedIn, Reddit, X, Slack, CRMs, etc.). Your use of these integrations is subject to the respective third-party's terms of service and privacy policies. We are not responsible for:

• Changes to third-party APIs that may affect our Services
• Actions taken by third-party platforms against your account
• The availability, accuracy, or security of third-party services

9 – Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPDATELY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10 – Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11 – Termination

You may terminate your account at any time by contacting us at hello@updately.ai or through the account settings within the platform.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12 – Indemnification

You agree to indemnify, defend, and hold harmless Updately and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights or privacy rights; or (d) any content you submit or transmit through the Services.

13 – Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14 – Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Website and updating the "Last updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
